n 2025, the institution of representations and warranties under Russian law marked its tenth anniversary. Over this period, representations and warranties provided in accordance with Article 431.2 of the Civil Code of the Russian Federation have become an integral part of any M&A transaction. However, a study of legal practice prepared by the KKMP team at the end of last year demonstrates that there is still no consensus within the Russian legal community on many practical issues regarding this institution.

The KKMP team invites everyone interested in the topic of representations to participate in a webinar where we will discuss the most interesting positions in judicial practice included in the study: from landmark and practice-shaping cases to isolated and controversial ones. Among other things, we will discuss the following topics:

• The practical significance of determining the legal nature of representations

• The possibility of providing representations for the future and the approach to structuring them

• The form of providing representations (providing representations in correspondence, representations at the pre-contractual stage, silence as an unreliable representation)

• Buyer’s knowledge (broad and narrow interpretations of the recipient’s due diligence, actual and imputed knowledge, sources of knowledge, significance of “internal” and “external” buyer status)

• Seller’s knowledge and due diligence, their significance

• Approaches to calculating damages arising from inaccurate representations, issues of mitigation, and necessary actions by the recipient
